Terms of Service

1. Scope
These terms apply to all services provided by Kerno, including but not limited to web development, e-commerce solutions, mobile app development, digital marketing, UI/UX design, IT support, and cybersecurity services. By engaging our services, you agree to these terms.
2. Services
Kerno provides digital services as agreed upon in individual project proposals or contracts. The specific scope, deliverables, and timeline are defined in the project agreement. We reserve the right to use subcontractors when necessary to deliver the agreed services.
3. Intellectual Property
Upon full payment, the client receives full ownership of all custom-developed code, designs, and content created specifically for the project. Kerno retains the right to use open-source libraries, frameworks, and reusable components across projects. We reserve the right to showcase the project in our portfolio unless otherwise agreed.
4. Payment Terms
Payment terms are specified in the individual project agreement. Unless otherwise agreed, invoices are due within 14 days. For larger projects, we may require milestone-based payments. Late payments may be subject to interest in accordance with Danish law (Renteloven).
5. Liability
Kerno is liable for direct damages caused by our negligence. We are not liable for indirect or consequential damages, including lost revenue, data loss, or business interruption. Our total liability is limited to the amount paid for the specific service in question. We are not responsible for downtime or issues caused by third-party services (hosting providers, payment gateways, etc.).
6. Termination
Either party may terminate the agreement with 30 days written notice. In case of termination, the client pays for all work completed up to the termination date. Kerno will deliver all completed work and source code upon full payment.
7. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the project. This obligation survives the termination of the agreement.
8. Governing Law
These terms are governed by Danish law. Any disputes arising from these terms or related services shall be resolved through the Danish courts.
